Terms of Service

1. Eligibility

To use MissionGive^SM, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using the Services under applicable law.

2. Nature of the Services

MissionGive^SM is a for-profit intermediary platform. We:

• Facilitate donations between donors and Charities.
• Provide tools for tracking, reporting, and engagement.

We are not a nonprofit organization, and we do not take ownership of donated funds except as necessary to process and disburse them.

3. Donations and Fund Flow

• Donations are made to the selected Charity, not to MissionGive^SM as a charitable recipient.
• Funds may be temporarily held or processed by MissionGive^SM or its payment partners before disbursement.
• Disbursement timing is subject to processing schedules, verification, and compliance requirements.
• MissionGive^SM does not guarantee immediate or uninterrupted fund delivery.
• MissionGive^SM acts solely as a technology platform and payment intermediary and does not establish a fiduciary, custodial, or trust relationship with donors or Charities.

4. Donor Terms

Donors:

• May choose to remain anonymous or share information with Charities.
• Acknowledge that donation information shared with Charities is subject to the Charity's own policies.
• Understand that MissionGive^SM does not control how Charities use donated funds.

MissionGive^SM may provide:

• Donation confirmations;
• Year-end summaries.

5. Charity Terms

Charities must:

• Maintain valid 501(c)(3) status;
• Complete verification and onboarding requirements;
• Provide accurate banking and operational information; and
• Comply with all applicable laws and regulations.

MissionGive^SM reserves the right to:

• Approve, deny, suspend, or remove any Charity at its sole discretion.
• Withhold or delay disbursements if compliance concerns arise.

Verification of a Charity does not constitute endorsement, recommendation, or guarantee of its activities, financial practices, or use of funds.

6. Fees

Donations may include:

• Payment processing fees; and
• Platform fees retained by MissionGive^SM.

Fees:

• Are clearly disclosed prior to donation.
• May be paid by the donor or deducted from the donation amount.

All fees are non-refundable once processed, except where required by law.

MissionGive^SM reserves the right to modify its fee structure at any time, with disclosure prior to transaction completion.

7. Payment Processing

All payments are processed through third-party providers.

By using the Services, you agree to:

• The terms and policies of those providers.
• Any applicable authorization, settlement, and dispute processes.

MissionGive^SM is not responsible for:

• Payment processor errors;
• Banking delays; or
• Chargebacks or disputes initiated by users.

MissionGive^SM does not store full payment credentials and relies on its third-party providers for secure payment processing.

8. Refunds and Chargebacks

• Donations are generally non-refundable.
• Refund requests must be directed to the receiving Charity unless otherwise required by law.
• MissionGive^SM reserves the right to handle refunds or reversals in cases of fraud, error, or legal obligation.

Chargebacks may result in:

• Account suspension; and/or
• Recovery actions for associated costs.

9. User Accounts

You are responsible for:

• Maintaining accurate account information;
• Protecting your login credentials; and
• All activity under your account.

We may suspend or terminate accounts for:

• Violations of these Terms;
• Fraudulent or suspicious activity; or
• Misuse of the platform.

10. Electronic Communications Consent

By using the Services, you consent to receive electronic communications from MissionGive^SM, including receipts, disclosures, and updates.

11. Prohibited Conduct

You agree not to:

• Use the platform for unlawful or fraudulent purposes;
• Misrepresent identity or affiliation;
• Interfere with platform operations;
• Attempt to access unauthorized systems or data; and
• Use the platform to solicit or distribute harmful or deceptive content.

12. Intellectual Property

All Site content (including text, branding, software, and design) is owned by MissionGive^SM or its licensors.

You may not:

• Copy, reproduce, or distribute content without permission; or
• Use MissionGive^SM branding without authorization.

13. Disclaimers

The Services are provided "as is" and "as available."

We do not guarantee:

• Continuous availability or uptime;
• Accuracy of Charity information;
• That donations will be used in a particular manner; or
• Tax deductibility of any donation.

MissionGive^SM relies on information provided by users and Charities and does not independently verify all submitted data.

MissionGive^SM is not responsible for:

• Actions or omissions of Charities; or
• Third-party services or integrations.

MissionGive^SM shall not be liable for any failure or delay resulting from causes beyond its reasonable control, including but not limited to acts of God, internet outages, payment network failures, governmental actions, or labor disputes.

14. Limitation of Liability

To the fullest extent permitted by law, MissionGive^SM shall not be liable for:

• Indirect, incidental, or consequential damages;
• Loss of funds, data, or goodwill; or
• Delays or failures in donation processing or disbursement.

Our total liability shall not exceed the greater of (a) the amount of fees paid to MissionGive^SM related to the transaction in question, or (b) $100.

15. Indemnification

You agree to indemnify and hold harmless MissionGive^SM LLC and its affiliates from any claims arising from:

• Your use of the Services;
• Your violation of these Terms; and
• Your violation of any third-party rights.

16. Termination

We may suspend or terminate access:

• At any time;
• For any reason; or
• Without prior notice.

Termination does not relieve you of obligations incurred prior to termination. Upon termination, access to account data and platform features may be restricted or permanently removed.

17. Modifications

We may update these Terms at any time. We may provide notice of material changes via email or platform notification, where appropriate.

Changes:

• Will be posted with an updated Effective Date.
• Become effective upon posting and binding upon your continued use of the Services.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania.

Disputes shall be resolved:

• First, through good-faith informal negotiation.
• Then, by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its applicable rules.

You waive the right to:

• Jury trial; and
• Class action participation.

19. Entire Agreement

These Terms constitute the entire agreement between you and MissionGive^SM regarding the use of the Services and supersede any prior agreements or understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
